These Terms & Conditions (the “Terms”) are a legal agreement between you and Ankush Agarwal, an individual (“I”, “me”, “my” or “us”). They apply to your use of www.ankushagarwal.org/ (the “Site”), my articles and other content, and the digital products I sell, including The First $10K E-Commerce Roadmap ebook, worksheets, calculators and templates (the “Products”). Please read them carefully. By using the Site or buying a Product, you agree to these Terms. If you do not agree, do not use the Site or the Products.
1. Who may use the Site
You must be at least 18 years old, or the age of legal majority where you live, to buy a Product or accept these Terms. If you use the Site on behalf of a business, you confirm you have authority to bind that business.
2. What the Site and Products are
The Site shares my professional experience and opinions on analytics, measurement, experimentation and e-commerce growth, and it offers Products for people who want to learn and apply those ideas. Everything is provided for general information and education. Please read my Disclaimer at https://www.ankushagarwal.org/disclaimer/, which forms part of these Terms. How the Site handles personal information, cookies, analytics, advertising measurement and website testing is described in my Privacy Policy at https://www.ankushagarwal.org/privacy-policy/ and my Cookie Policy (US) at https://www.ankushagarwal.org/cookie-policy-us/.
3. Intellectual property
The Site and its content, including text, articles, graphics, logos, layouts, charts, spreadsheets, worksheets, templates and the Products, are owned by me or my licensors and protected by copyright, trademark and other laws. Except for the license in Section 4, I reserve all rights. You may quote short excerpts of articles for commentary or criticism with clear credit and a link to the original. You may not copy, republish, scrape or create derivative works from the Site or Products without my written permission. Names and logos of other companies are the property of their owners.
4. License to use the Products
When you complete a purchase, I grant you a limited, single-user, non-exclusive, non-transferable, non-sublicensable and revocable license, for personal use only, to download and use the Products you bought. Personal use means use by you alone, for your own learning and for running your own business, including editing and filling in the worksheets, calculators and templates for your own use. You may:
- Keep copies for backup and use them on your own devices.
- Adapt templates, such as email copy or agreements, for your own business.
You may not:
- Resell, share, sublicense, lend, post, distribute or make the Products or any part of them available to others, including by uploading them to a website, marketplace, course, group or file-sharing service.
- Remove copyright or attribution notices, or present my work as your own.
- Use the Products to create a competing product or training offering.
- Share your download access, license key or links.
Each license covers one buyer. If you need copies for multiple users, such as a team, I offer a 10% discount on each additional copy: email [email protected] to arrange it. Using the Products for a client or for other people requires a suitable license, so please contact me first.
5. Templates and documents are not legal advice
The Products may include contract and policy templates, including a creator agreement, policy outlines, email and SMS wording and other documents. They are starting points only. They are not legal advice, are not tailored to your situation or location, and may not comply with laws that apply to you. Have a qualified attorney review any agreement, policy or customer-facing wording before you use it. Your use of any template is at your own risk.
6. Purchases, billing and payment authorization
The Products include the ebook The First $10K E-Commerce Roadmap: A Practical Guide for Founders, accompanying toolkits, template packs, calculators, spreadsheets, worksheets and checklists. The Products are currently sold through Payhip, which the buy buttons on this Site link to, and through the Gumroad marketplace, and I may use other sales platforms from time to time. Your purchase is also subject to the checkout terms and privacy policy of whichever platform or payment processor handles it, and your payment is processed by that platform or its payment providers. If you buy through Gumroad, Gumroad acts as the merchant of record for that purchase, which means it processes your payment, handles sales tax or VAT and may process refunds under its own rules. These Terms still govern your license to use the Products. Prices are shown in US dollars (USD) only and may change at any time before you buy. I do not offer the Products for sale to customers in the European Union or the United Kingdom through this Site or Payhip, and I may cancel and refund any order placed there that I reasonably believe comes from those regions. A third-party marketplace such as Gumroad may accept orders from other countries under its own terms and tax handling. Where required, applicable taxes are calculated and collected at checkout. I may refuse or cancel an order, for example because of suspected fraud, a pricing error or a technical problem, and I will refund you if I cancel it.
- Payment authorization. By submitting your credit card or other payment details for a purchase made through this Site, you represent and warrant that you are authorized to use that payment method. You expressly authorize me, and my third-party payment processors, to charge your card or account for the total purchase price of the digital products, ebooks, toolkits or resources you select.
- Immediate charge and finality. All charges are billed immediately when you submit your order. You acknowledge that digital files and download links are delivered instantly after your payment is successfully authorized. As described in Section 8, all digital sales are final and non-refundable.
- Disputes and chargebacks. You agree not to start an unauthorized chargeback or payment dispute with your bank or card provider for a validly fulfilled digital order. If you have a technical access problem or a duplicate charge, you agree to contact me at [email protected] first, so that I can resolve it before you contact your financial institution. Nothing in this paragraph limits any right you have under applicable law or card network rules.
7. Delivery and access
Products are delivered electronically, usually by download links on the confirmation page, in a confirmation email or on the platform where you bought the Product. Nothing is shipped physically. You are responsible for providing a correct email address and for having software that can open the files (for example a PDF viewer, spreadsheet software and a word processor). Fillable PDFs work best in Adobe Acrobat Reader or a modern desktop browser. I may update Products from time to time. If I update the edition you bought, you will receive the update at no extra charge for the lifetime of that edition, meaning for as long as I continue to offer it. I will notify you by email, or through the platform where you bought the Product, when an update is available, so please keep your email address current and check your spam folder. I may discontinue a Product or edition, and links and files may be changed or withdrawn.
8. Digital products and refund policy (all sales final)
Because of the immediate access and downloadable nature of digital products, all sales of Products made through www.ankushagarwal.org/ are final and non-refundable once your purchase is completed and access or download links are delivered. This applies to the ebook The First $10K E-Commerce Roadmap: A Practical Guide for Founders, accompanying toolkits, template packs, calculators, spreadsheets, worksheets and actionable checklists, whether bought alone or together. There are no returns and no exchanges.
Duplicate purchases and technical delivery problems will be handled on a case-by-case basis. Please contact me at [email protected] with your order details, and I will work with you to fix the problem. Where I cancel an order myself, for example because of a pricing error, I will refund it, as described in Section 6. Nothing in this section limits any right you have under applicable law that cannot be waived.
Purchases through Gumroad. If you buy through Gumroad, the refund policy shown on the Gumroad product page at the time of your purchase applies to that purchase, and Gumroad may process any refund under its own rules. For all other purchases, this Section 8 applies.
When you buy a Product, you receive a single-user, non-exclusive, non-transferable license for personal use only, as described in Section 4. You may not share, resell, reproduce, distribute or upload any files to public or shared platforms.
9. Acceptable use
When using the Site you agree not to: break the law or infringe anyone’s rights; interfere with or damage the Site, for example with malware, scraping or excessive requests; attempt to gain unauthorized access to the Site, its servers or other users’ data; use the Site to send spam or misleading content; or impersonate another person. I may restrict or end access if you do any of these.
10. Messages and feedback
If you send me comments, questions or suggestions, I may use them without obligation or compensation to you, unless we agree otherwise in writing. Please do not send confidential or proprietary information through the Site. Communications with me do not create a client, consulting or confidential relationship unless we sign a separate written agreement.
11. Third-party sites, tools and trademarks
The Site and Products refer to and link to third-party platforms and tools such as Shopify, WooCommerce, Squarespace, Wix, BigCommerce, Google, Meta, Klaviyo, Amazon, Etsy and others. They are mentioned to explain concepts and examples. I am not affiliated with, sponsored by or endorsed by them unless I say so. Their features, prices, policies and menus change often, and I am not responsible for their content, availability, performance or terms. Any dealings you have with them are between you and them.
12. No guarantee of results
I share methods, examples and opinions based on my experience, but I do not guarantee any result, including sales, profit, revenue, rankings, traffic, conversion rates or return on advertising spend. Examples and figures are illustrations. Your results depend on many factors outside my control, including your product, market, budget, skills, effort, competition, platform rules and the economy. You are solely responsible for your business decisions.
13. Disclaimer of warranties
To the fullest extent permitted by law, the Site and the Products are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, title and non-infringement. I do not warrant that the Site will be uninterrupted, secure or error-free, or that the content is accurate, complete or current.
14. Limitation of liability
To the fullest extent permitted by law, I will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunities, arising from or related to your use of, or inability to use, the Site or the Products, even if I was told such damage was possible. My total liability for any claim relating to the Site or a Product will not exceed the amount you paid for that Product in the 12 months before the claim arose, or $100 if you paid nothing. Some places do not allow certain limits, so some of this section may not apply to you, and nothing in these Terms limits liability that cannot be limited by law.
15. Indemnification
You agree to defend, indemnify and hold me harmless from claims, damages, losses and expenses (including reasonable attorney fees) arising from your breach of these Terms, your misuse of the Site or Products, or your violation of any law or third-party right, including how you use any template or advice in your own business.
16. Suspension and termination
I may suspend or end your access to the Site or revoke a Product license if you breach these Terms, with a refund only where the law requires one. Sections that by their nature should survive termination, including ownership, license limits, disclaimers, limitation of liability, indemnity and governing law, will continue to apply.
17. Copyright complaints
If you believe content on the Site infringes your copyright, send a notice that includes: your contact details; a description of the work and where the material appears on the Site; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner; and your signature. Send it to Ankush Agarwal, [email protected].
18. Governing law and disputes
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-law rules. Before filing a claim, you agree to contact me and try to resolve the dispute informally for at least 30 days. Any dispute that is not resolved will be brought in the state or federal courts located in Texas, and you and I consent to their jurisdiction and venue, except where the law of your country of residence gives you the right to bring claims elsewhere.
19. Changes to the Site and these Terms
I may change, suspend or discontinue any part of the Site or Products at any time. I may update these Terms by posting a new version with a new “Last updated” date. Your continued use of the Site after a change means you accept the updated Terms. For purchases, the Terms in force at the time of purchase apply to that purchase.
20. General
- Entire agreement. These Terms, the Disclaimer and the Privacy Policy are the entire agreement between us about the Site and Products.
- Severability. If part of these Terms is unenforceable, the rest remains in effect.
- No waiver. Not enforcing a right is not a waiver of it.
- Assignment. You may not transfer your rights under these Terms. I may assign mine, for example to a successor to my business.
- Electronic communications. You agree to receive notices and agreements electronically, and electronic signatures are valid.
- Events beyond my control. I am not responsible for delays or failures caused by events outside my reasonable control.
